Terms of Service

These terms form an agreement between you and CorpStart ("CorpStart", "we", "us"), and they govern your use of corpstart.ca and any filing or document preparation service you order from us.

By placing an order you accept these terms. If you do not accept them, do not place an order.

CorpStart is a document preparation and filing service. We are not a law firm, we do not employ lawyers acting for you, and nothing we provide is legal advice. No solicitor-client relationship is created by using our service.

We prepare and submit government forms based on the information you give us. We do not advise you on which structure to choose, how to allocate shares, or the tax consequences of your decisions. For anything involving trusts, estate freezes, shareholder agreements, multiple share classes with unusual rights, or non-resident director considerations, get independent legal and tax advice before ordering.

We file exactly what you submit. Government registries do not verify the accuracy of the information in a filing, and neither do we.

You are responsible for:

• The accuracy and completeness of every name, address, date, and share detail you enter.
• Confirming you are legally entitled to use the corporate or business name you have chosen.
• Meeting any residency, age, or capacity requirements that apply to directors under the OBCA or CBCA.
• Any licensing, permits, or registrations your business needs beyond the filing you ordered.

If a filing is rejected, delayed, or has to be amended because the information you provided was incorrect or incomplete, the government fee is not recoverable and a new government fee will apply to refile. Our position on our own service fee in that situation is set out in the Refund Policy.

The free name check on our site is a preliminary search of public registry data. It is a convenience, not a clearance. It does not check trademarks, does not cover every jurisdiction, and does not guarantee that a name will be accepted.

For named corporations we obtain a NUANS report as part of your order. A NUANS report improves confidence but still does not guarantee acceptance: the registry, and ultimately the courts, decide whether a name is available and whether it infringes anyone's rights.

A name accepted by a registry can still infringe a trademark or a competitor's rights. Clearing that risk is your responsibility.

Our pricing separates two different things. The service fee is what CorpStart charges for preparing and filing your documents. The government filing fee is a disbursement we collect and remit at cost with no markup. The NUANS name search, where one is needed, is included at no extra charge.

HST at 13% is charged on the CorpStart service fee only. Government filing fees are pass-through disbursements and are not part of our taxable supply. The exact amounts are itemised before you pay and again on your receipt.

Prices are in Canadian dollars and may change at any time, but the price shown to you at checkout is the price for that order.

We aim to submit filings within one to two business hours of payment, during registry business hours, Monday to Friday. Orders placed evenings, weekends, or on statutory holidays are submitted the next business day.

These are targets, not guarantees. Registry outages, government processing backlogs, NUANS delays, and filings that need clarification from you all affect timing and are outside our control.

Depending on the service you order, we prepare a standard document set that may include Articles of Incorporation, By-law No. 1, organizational resolutions, a share register, share certificates, and a digital minute book.

These are standard templates. They suit straightforward, closely held corporations. They are not tailored to your circumstances and are not a substitute for documents drafted by a lawyer for a specific situation.

You are responsible for keeping your corporate records current after we deliver them, including annual returns, director and address changes, and minute book upkeep.

To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to your order is limited to the service fee you paid us for that order. We are not liable for indirect, incidental, or consequential losses, including lost profits, lost business opportunities, or the cost of remedial legal work.

Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud.

You may not use CorpStart to file information you know to be false, to register an entity for fraudulent purposes, or to impersonate another person or business. We may refuse or cancel any order at our discretion, and we will refund the service fee in full where we do so before filing.

How we collect, use, store, and disclose your personal information is set out in our Privacy Policy, which forms part of these terms.

We may update these terms. The version in effect when you place an order is the version that governs that order. Material changes will be reflected in the 'last updated' date at the top of this page.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it. The courts of Ontario have exclusive jurisdiction over any dispute arising from them.
