How do I change my corporation's name in Ontario?
To change your Ontario corporation's name, you need to file an Articles of Amendment with the Ontario Business Registry. For a named corporation, a new NUANS name search is required first. How do I add or remove a director from my corporation?
Director changes can be filed online with the Ontario Business Registry (for Ontario corporations) or Corporations Canada (for federal corporations). You provide the director's full name, address, and residency status. For removals, you must confirm the director consents or that the removal follows your by-laws.
How long does it take to file a corporate amendment?
Corporate amendments filed through CorpStart are typically processed within 1-2 business hours of payment, during Ontario Business Registry or Corporations Canada business hours.
What is a registered office address change?
Your corporation's registered office is its official address on record with the government; it must be a physical address in the same province (Ontario) or country (Canada) for federal corporations. If you move or want to change this address, an amendment must be filed with the registry.
Can I change my share structure after incorporation?
Yes. You can amend your Articles of Incorporation at any time to change share classes, add new classes, or modify rights attached to existing shares. This requires filing an Articles of Amendment with the applicable government registry.
Do amendments require a shareholder vote?
Some amendments require shareholder approval (e.g., name changes, share structure changes), while others (e.g., director changes) may only require board approval. CorpStart prepares the necessary resolution forms as part of the amendment process.
Do I need a lawyer to file a corporate amendment?
No. Corporate amendments are government form filings. CorpStart prepares and submits the amendment documents on your behalf as a document preparation service. For amendments that involve complex shareholder restructuring or legal disputes, consulting a lawyer is advisable.
Can I amend an Ontario corporation if I am a non-resident?
Yes. Ontario has no director residency requirement, so non-resident directors can authorize and sign amendment filings. For federal (CBCA) corporations, the board must maintain at least 25% resident-Canadian directors after any director changes.
What happens after I file an amendment?
Once filed, the Ontario Business Registry or Corporations Canada issues a Certificate of Amendment confirming the change. CorpStart delivers the certificate and updated corporate records to you by email. You should update your minute book to reflect the amendment.
Can I reverse an amendment after it has been filed?
Most amendments can be corrected or reversed by filing a subsequent amendment. For example, a name change can be reversed by filing another name change. A restated Articles of Incorporation can also consolidate multiple amendments into one clean document.
